(a) These terms of use (Terms) govern access to and use of the WeMoney Developer Portal, including the documentation, sandbox testing environments, software development resources and other materials made available through the Developer Portal from time to time (Developer Portal).
(b) The Developer Portal is owned and operated by WeMoney Pty Ltd, ACN 633 007 860, ABN 88 633 007 860, Australian Credit Licence 526330, of Level 1, 63-73 Ann Street, Surry Hills, NSW 2010 (WeMoney, we, us or our).
(c) In these Terms, You and Your means:
(i) the individual who accesses or uses the Developer Portal; and
(ii) where that individual accesses or uses the Developer Portal for or on behalf of another person or entity, that person or entity.
(d) If You access or use the Developer Portal for or on behalf of another person or entity, You warrant that You are authorised to accept these Terms and bind that person or entity to these Terms.
(e) By creating an account, accepting these Terms, or accessing or using any part of the Developer Portal, You agree to be bound by these Terms. If You do not agree to these Terms, You must not access or use the Developer Portal.
(f) The Developer Portal provides access to documentation, testing environments, software development resources and other functionality made available by WeMoney from time to time.
(g) Access to particular features, environments, APIs, data or services within the Developer Portal may be subject to additional approval requirements and separate agreements determined by WeMoney.
(h) Access to the Developer Portal does not of itself give You any right or entitlement to access any production environment, production APIs, live data or commercial services. Access to such functionality may be granted only where approved by WeMoney and subject to any additional agreement required by WeMoney.
(i) WeMoney may, at any time and in its absolute discretion, modify, update, enhance, suspend, restrict or discontinue any aspect of the Developer Portal, including its functionality, features, content, APIs, documentation, sandbox environments and related resources, without prior notice to You. WeMoney is under no obligation to maintain any particular feature, functionality or availability of the Developer Portal and will not be liable for any such changes.
In these Terms, unless the context requires otherwise:
Confidential Information has the meaning given in clause 11(a).
Credentials means account details, usernames, passwords, sandbox API keys, access tokens and any other credentials issued or approved by WeMoney in connection with the Developer Portal or Sandbox Environment.
Developer Portal has the meaning given in clause 1(a).
Feedback has the meaning given in clause 10(a).
Indemnified Parties has the meaning given in clause 17(a).
Permitted Purpose has the meaning given in clause 5(b).
Portal Content has the meaning given in clause 8(a)(ii).
Sandbox Environment has the meaning given in clause 6(a).
Terms means these WeMoney Developer Portal Terms of Use, as amended from time to time in accordance with clause 19.7.
Third-Party Content has the meaning given in clause 13(a).
WeMoney, we, us or our means WeMoney Pty Ltd ACN 633 007 860.
WeMoney Marks has the meaning given in clause 9(a).
You or Your means:
(a) the individual who accesses or uses the Developer Portal; and
(b) where that individual accesses or uses the Developer Portal for or on behalf of another person or entity, that person or entity.
In these Terms, unless the context requires otherwise:
(a) the singular includes the plural and vice versa;
(b) a reference to a person includes an individual, company, corporation, partnership, joint venture, association, trust, unincorporated body, government authority or other entity;
(c) a reference to a clause is a reference to a clause of these Terms;
(d) the words including, includes and for example do not limit the meaning of the words preceding them;
(e) a reference to legislation or a provision of legislation includes any amendment, replacement or re-enactment of it and any regulation or other instrument made under it;
(f) a reference to writing or written includes email and other forms of electronic communication;
(g) headings are for convenience only and do not affect interpretation;
(h) no provision of these Terms will be interpreted against a party merely because that party prepared or proposed the provision; and
(i) where an expression is defined, another grammatical form of that expression has a corresponding meaning.
(a) Please read these Terms carefully before accessing or using the Developer Portal.
(b) These Terms apply to Your access to and use of the Developer Portal, including any documentation, sandbox testing environments, software development resources and other materials made available through the Developer Portal.
(c) We may specify additional terms, policies, requirements or documentation that apply to particular features, resources or functionality made available through the Developer Portal. You must comply with those additional requirements when accessing or using the relevant feature, resource or functionality.
(d) These Terms govern access to and use of the Developer Portal generally.
(e) Access to certain functionality, production environments, APIs, services or data made available through the Developer Portal may be subject to additional approval processes, compliance requirements and agreements determined by WeMoney from time to time. WeMoney may require information concerning Your proposed use case, business activities, licences, authorisations and regulatory status before granting access to such functionality.
(f) You must promptly notify WeMoney if any information provided regarding Your proposed use case, business activities, licences, authorisations or regulatory status changes in a material respect.
(g) Where You enter into a separate agreement with WeMoney relating to a production environment, production API, live data or other service made available through the Developer Portal, that agreement will prevail to the extent of any inconsistency with these Terms in relation to the relevant functionality or service.
(h) You should retain a copy of these Terms for Your records.
(a) To access and use the Developer Portal, You must:
(i) be at least 18 years of age;
(ii) have the legal capacity to enter into a binding agreement;
(iii) if accessing or using the Developer Portal on behalf of another person or entity, be authorised to act on behalf of and bind that person or entity; and
(iv) satisfy any registration, verification or other eligibility requirements specified by WeMoney from time to time.
(b) You must provide complete, accurate and current information when registering for an account and keep that information up to date.
(c) WeMoney may accept or reject an application to register for the Developer Portal at its discretion.
(d) You must not:
(i) create an account using false, misleading or unauthorised information;
(ii) create an account for another person or entity unless You are authorised to do so;
(iii) share Credentials assigned to an individual user, except to the extent expressly permitted through functionality made available by WeMoney for an organisation or team access; or
(iv) transfer, assign, sell or otherwise make Your account available to another person.
(e) You are responsible for maintaining the confidentiality and security of Your Credentials.
(f) You are responsible for all access to and use of the Developer Portal through Your account or Credentials, including any access or use by Your personnel, representatives or contractors.
(g) You must promptly notify WeMoney if You become aware of or suspect:
(i) any loss, theft, disclosure or unauthorised use of Your Credentials;
(ii) any unauthorised access to or use of Your account or the Developer Portal; or
(iii) any actual or suspected security incident affecting the Developer Portal.
(h) WeMoney may require You to change or reset Your Credentials, verify Your identity or authority, or provide further information relating to Your account at any time.
(i) WeMoney may suspend, restrict or disable Your account if:
(i) the information You provide is inaccurate, incomplete or misleading;
(ii) WeMoney reasonably suspects that Your account or Credentials have been compromised or used without authority;
(iii) You fail to satisfy any applicable eligibility, registration or verification requirement; or
(iv) WeMoney considers suspension, restriction or disabling reasonably necessary to protect the Developer Portal, WeMoney, its users or any third party.
(j) WeMoney may restrict or prohibit access to the Developer Portal from specified jurisdictions, countries or regions at its discretion.
(a) Subject to these Terms, WeMoney grants You a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use the Developer Portal during the period in which WeMoney permits You to maintain an account.
(b) You may access and use the Developer Portal solely for the purpose of:
(i) reviewing the documentation and other resources made available through the Developer Portal;
(ii) evaluating, developing, testing, maintaining and supporting integrations with WeMoney;
(iii) accessing and using any functionality, APIs, environments, services or data made available to You through the Developer Portal in accordance with these Terms and any applicable additional agreement; and
(iv) any other purpose expressly approved in writing by WeMoney, (Permitted Purpose).
(c) Your access to and use of the Developer Portal is subject to:
(i) these Terms;
(ii) any documentation, technical specifications, usage limits or instructions made available by WeMoney through the Developer Portal; and
(iii) any additional restrictions notified to You by WeMoney.
(d) You must not use the Developer Portal, its documentation, resources or the Sandbox Environment for any purpose other than the Permitted Purpose.
(e) Without WeMoney’s prior written approval and execution of a separate agreement, You must not:
(i) deploy or use any integration in a live or production environment except to the extent authorised by WeMoney and any applicable separate agreement;
(ii) access or attempt to access any production API, production system or live data except to the extent authorised by WeMoney and any applicable separate agreement;
(iii) access or attempt to access any production API, production system or live data except to the extent authorised by WeMoney and any applicable separate agreement;
(iv) use any documentation, resources or output from the Developer Portal to provide services to any customer or other third party except to the extent authorised by WeMoney and any applicable separate agreement;
(v) represent that WeMoney has approved, endorsed, certified or authorised You or any proposed integration;
(vi) use the Developer Portal to advertise, recommend, compare, distribute or facilitate access to any product or service;
(vii) refer or introduce any person to WeMoney or receive any referral, lead or customer information from WeMoney except to the extent authorised by WeMoney and any applicable separate agreement; or
(viii) use the Developer Portal in connection with any commercial deployment or production activity except to the extent authorised by WeMoney and any applicable separate agreement.
(f) Access to the Developer Portal is provided at WeMoney’s discretion. WeMoney does not guarantee that:
(i) any particular documentation, resource or functionality will be available;
(ii) any proposed integration will be approved for production access;
(iii) access to the Developer Portal will result in a commercial relationship with WeMoney; or
(iv) any functionality available through the Developer Portal or Sandbox Environment will be made available in a production environment.
(g) WeMoney may modify, replace, restrict, suspend or discontinue any part of the Developer Portal, including any documentation, resources or functionality, at any time.
(h) WeMoney is under no obligation to approve any developer, proposed integration, application for production access or request for access to a production environment.
(a) WeMoney may provide You with access to one or more non-production testing environments through the Developer Portal (Sandbox Environment).
(b) You may use the Sandbox Environment solely for the Permitted Purpose and in accordance with these Terms and any documentation, technical specifications, usage limits or instructions provided by WeMoney.
(c) The Sandbox Environment is provided for development, evaluation and testing purposes only. You must not use the Sandbox Environment:
(i) for any live, operational, production or commercial purpose;
(ii) to provide any product or service to a customer or other third party;
(iii) to process or facilitate any transaction, application, referral or customer interaction; or
(iv) in a manner that suggests that any integration has been approved, endorsed, certified or authorised by WeMoney.
(d) Unless WeMoney expressly authorises otherwise in writing, You must only use fictitious or synthetic test data in the Sandbox Environment.
(e) Except as expressly authorised by WeMoney and any applicable separate agreement, You must not upload, submit, store, process or disclose through the Sandbox Environment any:
(i) personal information relating to an identifiable individual;
(ii) financial information, credit information or customer account information;
(iii) authentication information, passwords or security credentials relating to any live account or system;
(iv) confidential information belonging to any third party; or
(v) any live, production or commercially sensitive data.
(f) Any data, responses, results or other output made available through the Sandbox Environment may be simulated, incomplete, inaccurate or different from the data, responses, results or functionality that may be available in a production environment.
(g) You acknowledge that:
(i) the Sandbox Environment may not reflect the design, functionality, availability, performance or security of any current or future production environment;
(ii) WeMoney does not warrant that any feature, API, documentation or functionality available in the Sandbox Environment will be made available in a production environment;
(iii) access to the Sandbox Environment does not constitute approval of Your proposed integration; and
(iv) You must not rely on the Sandbox Environment or its outputs for any operational, commercial, financial, legal, compliance or other decision.
(h) WeMoney may, at any time and without liability to You:
(i) impose or modify usage limits applying to the Sandbox Environment;
(ii) modify, replace or remove any test data, documentation, API, feature or functionality;
(iii) reset or delete any data or materials stored in the Sandbox Environment; or
(iv) restrict, suspend or discontinue access to any part of the Sandbox Environment.
(i) You are responsible for Your development and testing activities and for ensuring that those activities do not adversely affect the Developer Portal, Sandbox Environment, WeMoney’s systems or any third party.
(a) You must access and use the Developer Portal only:
(i) for the Permitted Purpose;
(ii) in accordance with these Terms and any documentation, technical specifications, usage limits or instructions provided by WeMoney; and
(iii) in compliance with all applicable laws and regulations.
(b) You must not, and must not permit or assist any other person to:
(i) access or use the Developer Portal for any unlawful, fraudulent, misleading, harmful or unauthorised purpose;
(ii) interfere with, disrupt, damage or impair the operation, security, integrity or performance of the Developer Portal, the Sandbox Environment or any underlying system, server or network;
(iii) introduce or transmit any virus, malware, ransomware, malicious code or other harmful or disruptive material;
(iv) attempt to gain unauthorised access to the Developer Portal, the Sandbox Environment, any production environment, account, system, server, network, data or functionality;
(v) bypass, disable, avoid or circumvent any authentication process, access restriction, security control, usage limit or technical measure;
(vi) conduct or attempt to conduct any vulnerability scan, penetration test, security assessment or similar testing without WeMoney’s prior written approval;
(vii) use any robot, spider, scraper, crawler, automated process or similar technology to access, monitor, copy, extract or collect content or data from the Developer Portal, except to the extent expressly permitted by WeMoney in writing;
(viii) use the Developer Portal in a manner that places an unreasonable or disproportionately large load on the Developer Portal, the Sandbox Environment or any related system or infrastructure;
(ix) reverse engineer, decompile, disassemble, decode or otherwise attempt to derive the source code, underlying structure, algorithms or non-public functionality of the Developer Portal or Sandbox Environment, except to the extent that such restriction is prohibited by law;
(x) copy, modify, adapt, translate, reproduce, republish, distribute, sell, licence, sublicense or create derivative works from any part of the Developer Portal or its content, except as expressly permitted by these Terms;
(xi) remove, obscure or alter any copyright, trade mark, confidentiality or other proprietary notice appearing in or on the Developer Portal or its content;
(xii) impersonate another person or entity, misrepresent Your identity, authority or affiliation, or provide false or misleading information;
(xiii) access or use another person’s account or Credentials without WeMoney’s express written approval;
(xiv) collect, store, use or disclose information about another user of the Developer Portal without a lawful basis and that user’s authority;
(xv) use the Developer Portal or any content or output obtained through it to develop, train, fine-tune, test or improve any artificial intelligence or machine-learning model, unless expressly approved by WeMoney in writing;
(xvi) use the Developer Portal or its content for competitive analysis or to develop or provide a product or service that competes with WeMoney, unless expressly approved by WeMoney in writing; or
(xvii) encourage, authorise or assist another person to engage in conduct prohibited by this clause.
(c) You must promptly comply with any reasonable direction given by WeMoney concerning Your access to or use of the Developer Portal, including any direction intended to address a security, technical, legal or regulatory risk.
(d) If You become aware of any actual or suspected misuse of the Developer Portal or breach of this clause, You must promptly notify WeMoney and take reasonable steps requested by WeMoney to prevent or mitigate that misuse or breach.
(a) WeMoney or its licensors own all rights, title and interest, including all intellectual property rights, in and to:
(i) the Developer Portal and Sandbox Environment;
(ii) all documentation, technical specifications, software development kits, sample code, tools, content, data, designs, text, graphics, logos and other materials made available through the Developer Portal (Portal Content); and
(iii) all modifications, updates, enhancements and derivative works relating to the Developer Portal, Sandbox Environment or Portal Content.
(b) Subject to these Terms, WeMoney grants You a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access, reproduce and use the Portal Content solely to the extent reasonably necessary for the Permitted Purpose.
(c) Certain Portal Content may be subject to separate licence terms, including open source licence terms. To the extent of any inconsistency between these Terms and those licence terms, the applicable licence terms will prevail in relation to the relevant Portal Content.
(d) You may permit Your personnel and contractors to use the Portal Content on Your behalf only if:
(i) their access and use are reasonably necessary for the Permitted Purpose;
(ii) they are bound by obligations that are no less protective of WeMoney and the Portal Content than these Terms; and
(iii) You remain responsible for their acts and omissions as if they were Your own.
(e) Except as expressly permitted by these Terms or approved by WeMoney in writing, You must not:
(i) copy, reproduce, modify, adapt, translate, publish, distribute, communicate, display or create derivative works from any Portal Content;
(ii) sell, license, sublicense, assign, transfer or otherwise make any Portal Content available to another person;
(iii) use the Portal Content for any production, operational or commercial purpose;
(iv) incorporate any Portal Content into a product or service made available to a customer or other third party;
(v) remove, obscure or alter any copyright, trade mark, confidentiality or other proprietary notice included in the Portal Content; or
(vi) claim or register any right, title or interest in the Developer Portal, Sandbox Environment or Portal Content.
(f) Nothing in these Terms transfers ownership of any intellectual property rights to You or grants You any rights other than the limited rights expressly stated in these Terms.
(g) All rights not expressly granted under these Terms are reserved by WeMoney and its licensors.
(h) You retain ownership of intellectual property rights in materials independently developed by You without using or incorporating any Portal Content, subject to any separate agreement entered into between You and WeMoney.
(a) Nothing in these Terms grants You any right to use any name, business name, trade mark, service mark, logo, branding, domain name or other identifier belonging to WeMoney or its related bodies corporate (WeMoney Marks).
(b) You must not use, reproduce, display, publish or register any WeMoney Mark, or any name or mark that is substantially identical or deceptively similar to a WeMoney Mark, without WeMoney’s prior written approval.
(c) You must not state or imply that:
(i) WeMoney has approved, endorsed, certified or authorised You or Your proposed integration;
(ii) You are a partner, representative, agent or affiliate of WeMoney; or
(iii) Your proposed integration is available for use in, or has been approved for, a production environment,
unless WeMoney has expressly authorised the relevant statement in writing.
(a) You may provide WeMoney with comments, suggestions, ideas, recommendations, bug reports, error reports or other feedback relating to the Developer Portal, Sandbox Environment, Portal Content or any potential product, service, feature or integration (Feedback).
(b) You are not required to provide Feedback. If You provide Feedback, you:
(i) warrant that You have the right to provide the Feedback to WeMoney;
(ii) acknowledge that WeMoney is not required to treat the Feedback as confidential;
(iii) grant WeMoney a perpetual, irrevocable, worldwide, royalty-free, transferable and sublicensable licence to use, reproduce, modify, adapt, develop, disclose, commercialise and otherwise exploit the Feedback for any purpose; and
(iv) acknowledge that WeMoney is not required to use, respond to or provide any payment, attribution or other compensation for the Feedback.
(c) You must not provide any Feedback that:
(i) contains personal information, live customer data or confidential information belonging to another person;
(ii) infringes another person’s intellectual property or other rights; or
(iii) You are not legally or contractually authorised to disclose.
(d) Nothing in this clause requires You to disclose any of Your confidential information or proprietary materials to WeMoney.
(a) In these Terms, Confidential Information means any information disclosed or made available by or on behalf of WeMoney through or in connection with the Developer Portal that:
(i) is identified as confidential;
(ii) is not publicly available; or
(iii) a reasonable person would understand to be confidential given the nature of the information or the circumstances of its disclosure,
including non-public Portal Content, technical specifications, software, sample code, security information, Credentials, test data, proposed features and information concerning WeMoney’s systems, products, services or business operations.
(b) Confidential Information does not include information that You can establish:
(i) is or becomes publicly available other than through a breach of these Terms or another obligation of confidence;
(ii) was lawfully known to You without restriction before it was disclosed by or on behalf of WeMoney;
(iii) is lawfully received from a third party without restriction and without breach of any obligation of confidence; or
(iv) is independently developed by You without access to or use of WeMoney’s Confidential Information.
(c) You must:
(i) use WeMoney’s Confidential Information solely for the Permitted Purpose;
(ii) keep WeMoney’s Confidential Information confidential and protect it using at least the same degree of care that You use to protect Your own confidential information of a similar nature, and no less than reasonable care;
(iii) disclose WeMoney’s Confidential Information only to Your personnel and contractors who need to know it for the Permitted Purpose and who are bound by confidentiality obligations no less protective than those in this clause; and
(iv) remain responsible for any use or disclosure of WeMoney’s Confidential Information by Your personnel and contractors.
(d) You must not, without WeMoney’s prior written approval:
(i) disclose WeMoney’s Confidential Information to any other person;
(ii) use WeMoney’s Confidential Information for Your own commercial benefit or for the benefit of any third party, other than for the Permitted Purpose; or
(iii) copy, reproduce or store WeMoney’s Confidential Information except to the extent reasonably necessary for the Permitted Purpose.
(e) If You are required by law, court order or a government or regulatory authority to disclose WeMoney’s Confidential Information, You may disclose only the minimum amount legally required. To the extent permitted by law, You must give WeMoney prompt written notice before making the disclosure and reasonably assist WeMoney to seek confidential treatment or otherwise limit the disclosure.
(f) You must promptly notify WeMoney if You become aware of any actual or suspected unauthorised access to, use of or disclosure of WeMoney’s Confidential Information and take all reasonable steps requested by WeMoney to prevent, mitigate or remedy that access, use or disclosure.
(g) At WeMoney’s request, or when Your access to the Developer Portal ends, You must promptly cease using and return or securely destroy WeMoney’s Confidential Information in Your possession or control, except to the extent that You are required by law to retain it.
(h) Your obligations under this clause continue after Your access to the Developer Portal ends.
(a) WeMoney may collect, use, store and disclose personal information relating to Your access to and use of the Developer Portal in accordance with the WeMoney Privacy & Credit Reporting Policy, as updated from time to time.
(b) By creating an account or accessing the Developer Portal, You acknowledge that WeMoney may collect information including:
(i) Your name, contact details and account information;
(ii) information relating to Your use of the Developer Portal and Sandbox Environment;
(iii) technical, device and usage information; and
(iv) any other information You provide to WeMoney in connection with the Developer Portal.
(c) You must comply with all applicable privacy, data protection and information security laws when accessing or using the Developer Portal.
(d) Except as expressly authorised by WeMoney and any applicable separate agreement you must not upload, submit, store, process or disclose through the Developer Portal or Sandbox Environment any identifiable:
(i) personal information;
(ii) customer information;
(iii) financial information;
(iv) credit information; or
(v) other live or production data.
(e) You acknowledge that WeMoney may monitor, record, analyse and review activity within the Developer Portal and Sandbox Environment for security, operational, legal, compliance, product development and support purposes.
(f) You must promptly notify WeMoney if You become aware of any actual or suspected:
(i) unauthorised access to personal information;
(ii) data breach;
(iii) information security incident; or
(iv) misuse of the Developer Portal,
that may affect WeMoney, the Developer Portal, Sandbox Environment or any information made available through them.
(g) Except as expressly authorised by WeMoney and any applicable separate agreement, nothing in these Terms authorises You to collect, access, receive, use or disclose any personal information, customer information, financial information or live data from WeMoney.
(h) Access to any live, production or customer data, if approved by WeMoney, will be subject to a separate agreement and any additional privacy, security, compliance and regulatory requirements determined by WeMoney.
(a) The Developer Portal may contain or provide access to content, software, tools, services or resources provided by third parties, including links to third-party websites (Third-Party Content).
(b) Third-Party Content is provided for convenience and informational purposes only. Unless WeMoney expressly states otherwise, the inclusion of Third-Party Content does not constitute WeMoney’s approval, endorsement, recommendation or warranty of the relevant third party or its products, services or content.
(c) WeMoney does not control and, to the maximum extent permitted by law, is not responsible for:
(i) the availability, accuracy, completeness, reliability or security of any Third-Party Content;
(ii) any products, services, representations or conduct of a third party; or
(iii) the terms, privacy practices or data-handling practices applying to Third-Party Content.
(d) Your access to and use of Third-Party Content may be subject to the third party’s own terms, conditions, licences and privacy policies. You are responsible for reviewing and complying with those requirements.
(e) You access and use Third-Party Content at Your own risk. Any agreement, transaction or other arrangement between You and a third party is solely between You and that third party.
(f) WeMoney may add, modify or remove any Third-Party Content or link at any time without notice.
(a) WeMoney may suspend, restrict or terminate Your access to all or any part of the Developer Portal (including any Sandbox Environment) immediately if:
(i) You breach these Terms or any applicable documentation, technical specifications, usage limits or instructions;
(ii) WeMoney reasonably suspects that Your account or Credentials have been compromised or used without authority;
(iii) Your access to or use of the Developer Portal creates or may create a security, technical, legal or regulatory risk;
(iv) Your access to or use of the Developer Portal interferes with or may adversely affect the Developer Portal, Sandbox Environment, WeMoney’s systems or any third party;
(v) WeMoney is required to do so by law or by a government or regulatory authority; or
(vi) WeMoney otherwise considers suspension, restriction or termination reasonably necessary to protect WeMoney, the Developer Portal, the Sandbox Environment, its users or any third party.
(b) WeMoney may modify, suspend or discontinue all or any part of the Developer Portal (including any Sandbox Environment) at any time. Where reasonably practicable, WeMoney will endeavour to provide prior notice, but may act without notice where immediate action is reasonably required.
(c) You may stop using the Developer Portal at any time. You may request closure of Your account by contacting WeMoney using the details specified in clause 18.
(d) On suspension or termination of Your access:
(i) Your right to access and use the Developer Portal, Sandbox Environment and Portal Content will immediately cease, except to the extent expressly permitted by WeMoney in writing;
(ii) You must immediately cease using WeMoney’s Confidential Information and Portal Content;
(iii) You must return or securely destroy WeMoney’s Confidential Information and Portal Content in accordance with clause 11(g);
(iv) WeMoney may disable Your account and Credentials and delete any data or materials stored through Your account or in the Sandbox Environment; and
(v) You will not be entitled to compensation or reimbursement for any costs or expenses incurred in connection with Your access to or use of the Developer Portal, Sandbox Environment or any proposed integration.
(e) Suspension or termination of access under these Terms does not:
(i) affect any accrued rights, remedies, obligations or liabilities of either party; or
(ii) give rise to any right to access a live production environment, production API, live data or commercial service.
(f) Any provision of these Terms that by its nature is intended to continue after suspension or termination will survive, including provisions relating to confidentiality, intellectual property, privacy, disclaimers, limitation of liability, indemnity and general terms.
(a) To the maximum extent permitted by law, the Developer Portal (including any Sandbox Environment) and Portal Content are provided on an “as is” and “as available” basis.
(b) WeMoney does not represent or warrant that:
(i) the Developer Portal, Sandbox Environment or Portal Content will be available, uninterrupted, secure or free from errors, defects, viruses or other harmful components;
(ii) any information, documentation, technical specification, test data, response, result or other content made available through the Developer Portal or Sandbox Environment is accurate, complete, current or suitable for any particular purpose;
(iii) the Sandbox Environment will reflect the design, functionality, availability, performance, security or operation of any current or future production environment;
(iv) any feature, API, documentation, resource or functionality made available through the Developer Portal or Sandbox Environment will be made available in a production environment;
(v) any defect or error will be identified or corrected;
(vi) Your proposed integration will operate successfully, be compatible with any production environment or satisfy WeMoney’s requirements for production access; or
(vii) WeMoney will approve Your proposed integration, grant You access to any production environment or API, or enter into any commercial relationship with You.
(c) You are solely responsible for:
(i) evaluating the Developer Portal, Sandbox Environment and Portal Content;
(ii) independently verifying and validating any data, response, result or other output obtained through the Developer Portal or Sandbox Environment;
(iii) determining whether Your systems, software and proposed integration are suitable and compatible with the Developer Portal and Sandbox Environment; and
(iv) implementing appropriate safeguards to protect Your systems, software, data and materials.
(d) You acknowledge that You access and use the Developer Portal, Sandbox Environment and Portal Content at Your own risk and that You must not rely on them for any production, operational, commercial, financial, legal, compliance or customer-related purpose.
(e) To the maximum extent permitted by law, WeMoney excludes all representations, warranties, guarantees, conditions and other terms, whether express, implied, statutory or otherwise, relating to the Developer Portal, Sandbox Environment and Portal Content.
(f) Nothing in these Terms excludes, restricts or modifies any right, guarantee, condition, warranty or remedy that cannot lawfully be excluded, restricted or modified, including under the Australian Consumer Law.
(a) To the maximum extent permitted by law, WeMoney is not liable to You for any loss, damage, cost or expense arising out of or in connection with:
(i) Your access to or use of, or inability to access or use, the Developer Portal (including any Sandbox Environment) or Portal Content;
(ii) any decision, action or omission taken by You in reliance on the Developer Portal, Sandbox Environment or Portal Content;
(iii) any interruption, suspension, unavailability, delay, error or defect affecting the Developer Portal or Sandbox Environment;
(iv) any modification, replacement, restriction, suspension or discontinuation of the Developer Portal, Sandbox Environment or any feature, functionality, documentation or resource made available through them;
(v) any proposed integration failing to operate as expected, meet Your requirements or receive approval for production access;
(vi) any act or omission of a third party, including providers of Third-Party Content; or
(vii) any unauthorised access to or use of the Developer Portal, Sandbox Environment, Your account or Credentials, except to the extent caused by WeMoney’s negligence, fraud or wilful misconduct.
(b) To the maximum extent permitted by law, WeMoney will not be liable for any:
(i) indirect, consequential, incidental, special, exemplary or punitive loss or damage; or
(ii) loss of revenue, income, profits, business opportunity, goodwill, reputation, anticipated savings, contracts, customers, data or use,
whether arising in contract, tort (including negligence), under statute or otherwise, even if WeMoney has been advised of the possibility of such loss or damage.
(c) To the maximum extent permitted by law, WeMoney’s aggregate liability arising out of or in connection with these Terms, the Developer Portal, Sandbox Environment or Portal Content, whether in contract, tort (including negligence), under statute or otherwise, is limited to AUD $100.
(d) You acknowledge that:
(i) access to the Developer Portal and Sandbox Environment is provided without charge;
(ii) You are responsible for all costs and expenses incurred in developing, testing or evaluating any proposed integration; and
(iii) WeMoney will not be liable for any expenditure, development costs, implementation costs, project costs or other reliance losses incurred by You in anticipation of obtaining production access, entering into a commercial relationship with WeMoney or deploying any integration.
(e) Nothing in these Terms excludes, restricts or modifies any right, guarantee, condition, warranty or remedy that cannot lawfully be excluded, restricted or modified, including under the Australian Consumer Law. Where liability cannot be excluded, WeMoney’s liability is limited to the maximum extent permitted by law.
(a) You indemnify and must keep indemnified WeMoney, its related bodies corporate, officers, employees, contractors and agents (Indemnified Parties) from and against any loss, damage, liability, cost, expense or claim (including reasonable legal costs) suffered or incurred by an Indemnified Party arising out of or in connection with:
(i) Your breach of these Terms;
(ii) Your access to or use of the Developer Portal, Sandbox Environment or Portal Content other than in accordance with these Terms;
(iii) any misuse of the Developer Portal, Sandbox Environment, Portal Content, Credentials or WeMoney's Confidential Information by You or any person accessing the Developer Portal using Your account or Credentials;
(iv) Your breach of any applicable law, regulation or third-party right;
(v) any personal injury, death, loss of or damage to property, or loss of data caused by any act or omission of You or Your personnel, contractors, agents or representatives in connection with the Developer Portal or Sandbox Environment;
(vi) any claim, demand, action or proceeding brought by a third party arising from Your proposed integration, software, systems, applications, content or materials; or
(vii) any unauthorised access to, use of or disclosure of WeMoney's Confidential Information resulting from an act or omission by You or a person for whom You are responsible under these Terms.
(b) Your indemnity under this clause is reduced to the extent that any loss, damage, liability, cost, expense or claim is caused or contributed to by WeMoney's negligence, fraud or wilful misconduct.
(c) WeMoney must take reasonable steps to mitigate any loss for which it seeks to be indemnified under this clause.
(d) The indemnities in this clause are continuing obligations, separate and independent from the other obligations in these Terms, and continue after these Terms end.
(a) If You have any questions about these Terms, the Developer Portal or the Sandbox Environment, or wish to request closure of Your account, You may contact WeMoney using the contact details made available through the Developer Portal or on WeMoney’s website.
(b) You must promptly notify WeMoney of any actual or suspected security incident, unauthorised access, misuse of the Developer Portal or Sandbox Environment, or breach of these Terms using the contact details made available through the Developer Portal.
(c) WeMoney may update its contact details from time to time by publishing the updated details through the Developer Portal or on its website.
(a) Any notice, consent, approval or other communication under these Terms must be in writing.
(b) WeMoney may provide notices to You by:
(i) posting a notice through the Developer Portal;
(ii) sending an email to the email address associated with Your account; or
(iii) any other method permitted by law.
(c) You may provide notices to WeMoney using the contact details published by WeMoney from time to time.
(d) A notice will be deemed received:
(i) if sent by email, at the time the email leaves the sender's information system, unless the sender receives an error or delivery failure notification; and
(ii) if posted through the Developer Portal, when it is made available to You.
(a) You must not assign, transfer, novate, subcontract or otherwise deal with any of Your rights or obligations under these Terms without WeMoney's prior written consent.
(b) WeMoney may assign, novate or transfer its rights and obligations under these Terms to any related body corporate or as part of a corporate restructure, merger, acquisition or sale of assets.
Nothing in these Terms creates a partnership, joint venture, agency, employment, fiduciary or representative relationship between You and WeMoney.
A failure or delay by a party to exercise a right, power or remedy under these Terms does not operate as a waiver of that right, power or remedy. A waiver is only effective if it is in writing.
If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision will be severed to the extent necessary and the remaining provisions will continue in full force and effect.
These Terms constitute the entire agreement between the parties regarding access to and use of the Developer Portal and supersede all prior discussions, representations, understandings and agreements relating to that subject matter.
(a) WeMoney may amend these Terms from time to time.
(b) Any updated version of these Terms will be made available through the Developer Portal or by another method determined by WeMoney.
(c) Continued access to or use of the Developer Portal after updated Terms become effective constitutes acceptance of those updated Terms.
(d) If You do not agree to an amendment, You must stop accessing and using the Developer Portal.
You acknowledge and agree that:
(a) these Terms may be accepted electronically, including by clicking an "accept", "agree" or similar button or by accessing or using the Developer Portal;
(b) electronic acceptance has the same force and effect as a handwritten signature; and
(c) electronic records maintained by WeMoney relating to acceptance of these Terms are evidence of that acceptance.
(a) These Terms are governed by the laws of Western Australia.
(b) Each party irrevocably submits to the non-exclusive jurisdiction of the courts of Western Australia and the courts competent to hear appeals from those courts.
Each party must do all things and execute all documents reasonably necessary to give full effect to these Terms and the transactions contemplated by them.
Clauses 8 (Intellectual Property), 9 (WeMoney Name and Trade Marks), 10 (Feedback), 11 (Confidentiality), 12 (Privacy and Data Protection), 15 (No Representations or Warranties), 16 (Limitation of Liability), 17 (Indemnity) and this clause 19, together with any other provision which by its nature is intended to survive, will continue in force after these Terms end.
